To access the Investment One app, you are required (as a precondition) to first agree to this Terms of Use by Clicking “I Agree” on the login page; and by so doing you are presumed to have read and found this Terms of Use acceptable to you.
This Terms of Use may be altered, revised or substituted from time to time, and in such an event, we will notify you by posting the amended or substituted Terms of Use on the login page. Any use or access of the Investment One app after posting such a change will constitute your agreement to such change(s). It is advised that you take out time to read the revised or substituted Terms of Use when posted before accessing the Investment One app.
INTRODUCTION
The Investment One app is a more convenient, and user-friendly financial services hub, developed by Investment One Financial Services Limited (IOFSL) to provide a wide spectrum of investment products to Users and Clients via i) the Mobile Application; ii) the Website at app.investment-one.com and iii) any other medium/ access point deployed by IOFSL from time to time (all access points together and severally known as “INVESTMENT ONE”).
PURPOSE
By using the Investment One app, we provide you access to an array of financial and investments solutions including automated savings, fixed income, treasury bills, and equities. The Investment One app gives you access to our expertise and professionalism in managing your various financial/investment plans at minimal cost, whilst ensuring you get optimum returns on investment.
AGREEMENT WITH THE TERMS OF USE
You agree to be bound by this Terms of Use when you access the Investment One app through our dedicated website at www.investment-one.com or our mobile applications as a User or Client. We therefore advise you to take out time to read this Terms of Use carefully. For the purpose of this agreement, a User is an individual who uses our website or mobile application to evaluate our services, or for educational purposes; whereas a Client is an individual who signs up on the Investment One app through whatever access point, this entitles the Client to have his or her savings and or investment portfolio managed by us. This Terms of Use, as well as our online Privacy Policy apply to both Users and Clients. If you elect to become a Client, you will be subject to this Terms of Use, our online Privacy Policy and any additional terms which you agree to when you create and fund a savings and or investment account.
LEGAL CAPACITY TO ENTER INTO AGREEMENT
By accepting these Terms and Conditions, you hereby represent that you have the legal capacity to be bound and enter into an agreement. If you are below the age of Eighteen (18), you require the assistance of your parents or legal guardian(s).
REGISTRATION
To access the Investment One app, you are required to first complete the registration process. This requires you to provide your basic personal data/information, a valid email address, and phone number. You will also be requested to select a User Identification Number or Code (“User ID”) and a unique password (“Password”) both comprising your login details. Upon completing the registration, you will receive a notification on your registered email address confirming your account registration. You are to ensure that your User ID and Password are kept strictly confidential and for your use ONLY. We shall not be responsible for any unauthorized use of and or access to your Investment One account/profile once created. In the event that your Password becomes compromised, or you believe it to be so, you are to notify us immediately via email to hello@Ziingit.com or phone call to 01-4480847.
PRIVACY AND CONFIDENTIALITY
As our Client, we treat your privacy with serious importance and confidentiality. You also understand that, by using the Investment One app, you consent to the collection, use, storage and disclosure of your information in the manner stated in this Terms of Use and our Online Privacy Policy.
KNOW-YOUR-CUSTOMER REQUIREMENTS
You are required to provide certain information and documentation, which will enable us to know you better and validate your account. Until all requested information and documentation are provided, you may have restricted access to operating your account. Such restriction may include making additional investments, and or liquidation of funds, or for any other use. If any part of the required information/documentation remains outstanding, you will receive on a periodic basis, automated reminders of the outstanding information and documentation. You will also see reminders within the app telling you the outstanding information/documentation required to complete your KYC
IDEMNIFICATION
By agreeing to this Terms of Use, you hereby indemnify and hold IOFSL and its affiliates harmless with respect to any suits or claims against it, arising out of (i) your breach of this Terms of Use, including, but not limited to, any infringement by you of the copyright or intellectual property rights of any third party; (ii) your fraudulent, malicious use, misuse or abuse of the Investment One app (iii) your violation of applicable laws, rules and regulations in connection with your use of the Investment One app or (iv) our use of materials generated or uploaded by you in accordance with this Terms of Use.
You hereby also indemnify and hold IOFSL, its third-party vendors, corporate affiliates, directors, officers, employees and agents harmless from any and all claims and demands, including, but not limited to reasonable attorneys’ fees, made by any third-party due to or arising out of any content submitted, posted, or otherwise provided by you to IOFSL and/or its third party advertisers and any breach by you or your affiliates, employees, agents and representatives of any provisions of this Terms of Use.
POTENTIAL DISRUPTION OF SERVICE
You shall be responsible for obtaining and maintaining all telephone, computer hardware, software, and other equipment needed to access and use this website. Access to this website may from time to time be unavailable, delayed, limited or slow due to, among other things:
- Hardware failure, including among other things, failures of computers (including your own computer), servers, networks, telecommunication lines and connections, and other electronic and mechanical equipment.
- Software failure, including among other things, bugs, errors, viruses, configuration problems, incompatibility of systems, utilities or applications, the operation of firewalls or screening programs, unreadable codes, or irregularities within documents or other content
- Overload of system capacities
- Damage caused by severe weather, earthquakes, wars, insurrection, riots, terrorism, civil commotion, act of God, accident, fire, water damage, explosion, mechanical breakdown, or natural disasters
- Interruption (whether partial or total) of power supplies or other utility of service
- Strike or other stoppage (whether partial or total) of labor
- Governmental or regulatory restrictions, exchange rulings, court or tribunal orders or other human intervention; or
- Any other cause (whether similar or dissimilar to any of the foregoing) whatsoever beyond our control.
If access to this Website is unavailable, delayed or limited or if this Website does not operate quickly and efficiently, you may be unable to transmit your instructions for transactions and other matters, or such instructions may not be promptly executed, or you may be unable to retrieve information on a timely basis. If your operations are dependent on such communications with us, and such communications are disrupted or delayed, you may suffer losses. Investment One app/IOFSL shall not be liable for any such loss.
MONITORING OF USE OF SERVICES
Your use of the products and services on the Investment One app may be monitored by IOFSL and the resultant information may be used by IOFSL for its internal business purposes or in accordance with the rules of any applicable regulatory or self-regulatory organization. Anyone using the Investment One app expressly consents to such monitoring, tracking, and recording.
PROHIBITED USES
You shall not use the Investment One app for illegal, unlawful and malicious activities, or for activities that we deem improper for any reason whatsoever in our sole judgment, including, without limitation, the laundering of proceeds of any unlawful activity, the financing of terrorism, the commission of fraud or market manipulation, harassing or making disparaging comments to any user of the Investment One app. IOFSL reserves the right to take preventative or corrective actions to protect itself and Users. Your use of the Investment One app is conditioned on your compliance with this Terms of Use, and your failure to so comply may result in termination of your access to and use of the Investment One app, and liability for damages caused by your noncompliance shall be your full responsibility in accordance with the indemnity herein given by you in favor of IOFSL.
PROMOTIONS AND REFERRALS
We may at our sole discretion, make available promotions with different features to any user or prospective users of the Investment One app. These promotions, unless made to you, shall have no bearing whatsoever on your relationship with us. From time to time, we may offer you incentives to refer new users to the Investment One app. These incentives may come in the form, amount, and terms determined at the sole discretion of IOFSL. IOFSL reserves the right to withhold or deduct reward or other benefits obtained through a promotion, if we determine or believe that the receipt of the reward or benefit was in error, fraudulent, illegal, or in violation of this Terms of Use or an applicable referral agreement or program agreement.
WARRANTIES, DISCLAIMERS AND LIMITATION OF LIABILITY AND REMEDIES
Warranties
You represent and warrant to IOFSL that (a) all information, including, without limitation, Client Information, that you provide to IOFSL is accurate and truthful, (b) you have the authority to share Client Information with IOFSL and to grant IOFSL the right to use Client Information as provided in this Terms of Use and the Online Privacy Policy, (c) your acceptance and use of the Investment One app, pursuant to this Terms of Use does not violate any applicable law or other contract or obligation to which you are a party or are otherwise bound, and (d) the materials and information you share with IOFSL do not infringe the intellectual property rights, including any copyrights, trademarks, trade secrets, right of privacy, or right of publicity, of any person.
Disclaimers
Although we will always make efforts to operate the Investment One app with the most reasonable degree of accuracy according to global best practices and standards, the Investment One app, and all parts thereof are provided “as is”, and “as available”. IOFSL and its affiliates and their respective managing members, officers, directors, employees and third party suppliers (collectively, the “Company Parties”) disclaim any and all representations, warranties or guarantees of any kind, whether express, implied or statutory, including without limitation (1) as to title, merchantability, fitness for ordinary purposes and fitness for a particular purpose and non-infringement, (2) the quality, accuracy, timeliness or completeness of the Investment One app, (3) those arising through course of dealing, course of performance or usage of trade, (4) the Investment One app’s conformity with any function, demonstration or promise by any Company Party and (5) that access to or use of the Investment One app will be uninterrupted, error-free or completely secure. Any reliance upon the Investment One app is at your own risk and IOFSL makes no warranties, it reserves the right to restrict or terminate your access to the Investment One app, or any feature or part thereof at any time. If you download the Investment One app or any content thereof, you do so at your own discretion and risk. You will be solely responsible for any damage to your computer system or mobile device or loss of data that results from the download of any such content.
Your reliance upon the information available on the Investment One app or located through utilization of our services and your interactions with third users identified through our services is SOLELY AT YOUR OWN RISK. Your interactions with other users or advertisers, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and the other person or entity, and you agree that IOFSL will not be responsible for any loss or damage incurred as a result of any such dealings or with respect to any other person or entity’s use or disclosure of your personally identifiable information. If there is a dispute between you and any third party, IOFSL is under no obligation to become involved, and you agree that you will manage any such dispute or disagreement directly, and that you will not make any claims against IOFSL with respect to products or services purchased through your use of the Investment One app.
IOFSL’s services and the Investment One app may be subject to limitations, delays, and other problems inherent in the use of the Internet, mobile devices, and electronic communications. IOFSL is not responsible for any delays, delivery failures or other damages resulting from such problems. IOFSL does not guarantee that the Investment One app will be always operable. IOFSL reserves the right to do any of the following, at any time, without notice (1) to modify, suspend or terminate operation of or access to the Investment One app or any portion thereof, (2) to modify or change the Investment One app or any portion thereof, and any applicable policy or term (except as described in the Online Privacy Policy); and (3) to interrupt the operation of the Investment One app, or any portion thereof as necessary to perform routine or non-routine maintenance, error correction, or other changes.
THESE DISCLAIMERS ARE INDEPENDENT OF ANY OTHER TERM IN THIS TERMS OF USE.
Limitation of Liabilities and Remedies
In no event shall IOFSL be liable for any direct, indirect, punitive, incidental, special, or consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the use or performance of the Investment One app, with the delay or inability to access or use same or related services, the provision of or failure to provide services, or for any content, software, products and services made available or obtained through the Investment One app, or otherwise arising out of the use or access of the Investment One app or use of the services, whether based on contract, tort, negligence, strict liability or otherwise, even if IOFSL has been advised of the possibility of damages. Any services or content made available or obtained using the Investment One app, is done at your own discretion and risk and you will be solely responsible for any damage to your computer system or loss of data that results therefrom.
If you are dissatisfied with any portion of the Investment One app or with any portion or whole of this Terms of Use, your sole and exclusive remedy is to discontinue using the Investment One app.
GOVERNING LAW AND DISPUTE RESOLUTION
In the event of a legal dispute arising from or in connection with this Terms of Use, the Parties shall first explore amicable settlement or resolution of such dispute by their best efforts through mutual discussion within a period not exceeding Ten (10) business days, failing which the dispute shall be referred to arbitration by either Party before a single arbitrator to be agreed upon by the Parties and where the Parties do not agree, the sole arbitrator shall be appointed by the President of the Chartered Institute of Arbitrators, UK, Nigeria Branch. The arbitration shall be conducted in accordance with the Arbitration and Conciliation Act (Cap. A18) Laws of the Federal Republic of Nigeria, 2004. The arbitral award shall be final and binding on the Parties. You agree that this Terms of Use shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.
INTERGRATION AND SEVERABILITY
The entirety of this Terms of Use constitutes the agreement of Parties with respect to and use of the Investment One app. It supersedes all prior communication. If any provision of this agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this agreement will otherwise remain in full force and effect. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder. Investment recommendations are to the largest extent and interpretation mere recommendations made to Clients on individual basis, and each Client has the final decision to make; and such recommendations may differ based on specific circumstances.
TERMINATION
This agreement can be terminated at any time. You may request the termination of your User account at any time for any reason by sending an email to hello@Ziingit.com. We may as well terminate or suspend your access to the Investment One app, in our sole discretion. At any time that a violation of this Terms of Use has occurred, we may take any other corrective action(s) deemed appropriate. Please note that information may also be sought from you on suspicion of violating this Terms of Use and you agree to provide us with such needed information.
COMMUNICATION: Any notice or communication will be in writing by email
You agree that this Terms of Use and the rules, restrictions, and policies contained herein, and the Investment One app’s enforcement thereof, are not intended to confer and do not confer any rights or remedies on any person other than you and the Investment One app. This Terms of Use together with Investment One app’s online Privacy Policy and any other subsequent agreement that may be agreed to from time to time by you, constitute the entire agreement between IOFSL and you with respect to the subject matter hereof. Any notice or other communication to be given hereunder will be in writing and given by i) the Investment One app or IOFSL via your registered email, on the login page or displayed on Investment One’s app website and/or your registered phone number; or ii) by you via email to hello@Ziingit.com or to such other addresses as the Investment One app may specify in writing. The date of receipt shall be deemed the date on which such notice is transmitted.
Feedback: We welcome your feedback
Your feedback is welcome and encouraged. You may submit feedback by emailing us at hello@Ziingit.com. You agree, however, that (i) by submitting unsolicited ideas to the Investment One app or any of its employees or representatives, by any medium, including but not limited to email, written, or oral communication, you automatically forfeit your right to any intellectual property rights in such ideas; and (ii) such unsolicited ideas automatically become the property of the Investment One app. You hereby assign and agree to assign all rights, title, and interest you have in such feedback and ideas to Investment One together with all intellectual property rights therein. In addition, you warrant that all moral rights in any feedback have been waived, and you do hereby waive any such moral rights. You further agree and warrant that such suggestions do not constitute an infringement of third-party rights.
